Our Terms of Trade outline the conditions governing the supply of goods and services by Del Mundo Limited.

These terms are designed to ensure transparency and establish clear expectations regarding:

  • Ordering procedures
  • Pricing and payment terms
  • Delivery and freight
  • Returns and claims
  • Account responsibilities
  • Credit facilities and overdue accounts

We encourage all customers to review these terms carefully before placing orders or opening a trade account.

For Wholesale and Retail Credit Account Holders Only

These Terms and Conditions govern all orders placed with and all goods (“Goods”) supplied by Del Mundo Limited (“Del Mundo”) to the Customer.

By placing an order with Del Mundo, the Customer agrees to be bound by these Terms and Conditions.

These Terms and Conditions are governed by the laws of New Zealand.

Prices and Orders

Del Mundo may amend these Terms and Conditions at any time. Del Mundo may provide the updated terms directly to the Customer or publish them on the Del Mundo website. Any order placed after notification of updated terms constitutes acceptance of those terms.

Del Mundo is not required to accept an order until it confirms acceptance in writing.

Del Mundo may correct any clerical, administrative, pricing, calculation, or typographical error in any quotation, order confirmation, invoice, or other communication.

All products remain subject to availability. Del Mundo may change prices without notice. Del Mundo accepts no liability for unavailable products or changes in pricing.

Delivery and Freight

Delivery is available throughout New Zealand, subject to product availability and service coverage.

Trade account holders receive free freight nationwide on orders of 12 bottles or more.

Orders containing fewer than 12 bottles incur a freight charge of $12.00 plus GST per order.

For wines offered on allocation, availability is secured only after Del Mundo confirms the allocation request. Del Mundo will make reasonable efforts to fulfil all orders; however, allocation wines remain subject to producer allocation limits and availability at the time of confirmation.

Del Mundo may amend freight charges from time to time. Any revised charges apply only to orders placed after notification of the change.

Delivery dates and timeframes are estimates only. Del Mundo is not liable for delays caused by events outside its reasonable control, including freight carrier delays, weather events, supply disruptions, or force majeure events.

Sale of Alcohol

Del Mundo supplies alcoholic beverages in accordance with the Sale and Supply of Alcohol Act 2012.

By placing an order, the Customer confirms that they are legally entitled to purchase alcohol under New Zealand law.

Del Mundo reserves the right to refuse, cancel, or delay any order if it reasonably believes the sale may breach applicable legislation.

Payment Terms

Unless Del Mundo has approved a credit facility for the Customer, payment is due immediately upon invoice.

Del Mundo will not dispatch Goods until it receives payment in full.

Credit card payments incur a surcharge of 2.9%.

Where Del Mundo has approved a credit facility, the Customer must comply with the agreed credit terms and Del Mundo’s Credit Policy.

Risk and Ownership

Risk in the Goods passes to the Customer when Del Mundo delivers the Goods or places them into the custody of a carrier acting on the Customer’s behalf.

The Customer must insure the Goods from that time.

Ownership of the Goods does not pass to the Customer until Del Mundo receives full payment of all amounts owing by the Customer.

Until ownership transfers, the Customer must:

  • Keep the Goods in good condition.
  • Maintain adequate insurance for their full replacement value.
  • Keep the Goods free from any charge, security interest, or encumbrance.
  • Store the Goods separately from other goods where reasonably practical.
  • Ensure the Goods remain identifiable as products supplied by Del Mundo.

If the Customer sells the Goods before paying Del Mundo in full, the Customer holds the proceeds of sale on trust for Del Mundo and must immediately account for all outstanding amounts owed.

Where the resale creates a debt owed to the Customer, the Customer assigns that debt to Del Mundo to the extent necessary to recover all amounts owing.

Right to Repossess Goods

If the Customer fails to pay any amount due, Del Mundo may recover any Goods for which ownership has not passed.

For this purpose, Del Mundo may enter any premises where it reasonably believes the Goods are located.

The Customer indemnifies Del Mundo against any claims, costs, losses, or damages arising from such recovery, except where caused by Del Mundo’s negligence.

Waiver and Variations

A waiver or variation of these Terms and Conditions is valid only if Del Mundo confirms it in writing.

If Del Mundo chooses not to enforce a provision at any time, this does not limit its right to enforce that provision or any other provision in the future.

Force Majeure

Del Mundo is not liable for any delay or failure to perform its obligations where events beyond its reasonable control prevent performance.

These events include, but are not limited to:

  • Natural disasters
  • Fires
  • Floods
  • Strikes
  • Transport disruptions
  • Civil disturbances
  • Government restrictions
  • Supply chain interruptions

In these circumstances, Del Mundo may delay performance, suspend obligations, or cancel any affected order without liability.

Credit Policy and Eligibility

Del Mundo may grant a credit facility only to a company registered in New Zealand.

Approval remains entirely at Del Mundo’s discretion.

  • Trading Name
  • NZ Company Number
  • Date of Incorporation
  • Physical Address
  • Director or Owner contact details
  • Accounts Payable contact details

Del Mundo may request additional information at any time.

Accepted payment methods include:

  • Direct Credit

  • Suspend deliveries.
  • Suspend credit facilities.
  • Require payment before dispatch.

The Customer must pay all costs incurred by Del Mundo as a result of any suspension or reinstatement of credit facilities.

Credit Default

A default occurs when:

  • An invoice remains unpaid after its due date.
  • The approved credit limit is exceeded.
  • Del Mundo reasonably believes the Customer may not meet future payment obligations.

If a default occurs, Del Mundo may:

Interest Charges

Charge interest on overdue amounts at 2% per month, calculated daily and compounded monthly.

Suspension of Supply

Withhold deliveries.

Cancel outstanding orders.

Require payment in advance before releasing further orders.

Credit Hold

An account will automatically be placed on credit hold when:

  • An invoice remains unpaid three days after the due date; or
  • The Customer exceeds its approved credit limit by more than 20%.

While an account remains on credit hold, Del Mundo may release pending orders only after receiving payment or satisfactory evidence of payment.

Acceptable evidence may include:

  • A bank remittance advice.
  • Confirmation from the Customer’s bank.
  • Funds received into Del Mundo’s account.

Factors Considered When Reviewing Credit

Del Mundo may place an account on hold where:

  • The Customer defaults without providing prior notice.
  • Credible information indicates cash flow difficulties.
  • The Customer repeatedly fails to comply with agreed credit terms.

Credit Default Review

After a Customer clears all overdue amounts, Del Mundo may review the account and decide to:

  • Maintain the existing credit terms.
  • Amend the credit limit.
  • Require a Direct Debit Authority.
  • Require a Credit Card Authority.
  • Remove the credit facility.

Where Del Mundo removes a credit facility, the Customer may request a review after completing three consecutive purchases paid in full before dispatch.

Entire Agreement

These Terms and Conditions constitute the entire agreement between Del Mundo and the Customer and supersede all prior discussions, representations, negotiations, and agreements relating to the supply of Goods unless otherwise agreed in writing.
